B2B Cooperation Terms for Industrial Rubber & Silicone Components

1. Scope of Cooperation
These Terms of Service ("Terms") govern all business-to-business transactions between Shenzhen Rubber And Plastics Ltd. ("Supplier", "we", "us") and the purchasing party ("Buyer", "you") for the supply of custom and standard rubber and silicone components.
- Applicable Products: Rubber seals, strips, stoppers, plugs, caps, O-rings, washers, feet, pads, sheets, mounts, grommets, grips, silicone buttons, suction cups, and custom molded components.
- Buyer Eligibility: OEM brands, industrial manufacturers, distributors, engineering contractors, and commercial entities purchasing for business purposes.
- Agreement Formation: By submitting a purchase order or accepting a quotation, Buyer agrees to be bound by these Terms.
2. Order Rules
Minimum Order Quantity (MOQ)
- • Standard Products: MOQ varies by item, typically 500-1,000 pieces per SKU. Refer to product catalog or request quotation for specific MOQ.
- • Custom Products: MOQ typically 1,000-5,000 pieces per design, depending on complexity and tooling requirements.
- • Sample Orders: Small quantities available for testing purposes, subject to sample fees and availability.
Payment Terms
- • New Customers: 30-50% deposit upon order confirmation, balance before shipment (T/T, PayPal, or bank transfer).
- • Established Customers: Net 30-60 days payment terms available upon credit approval and order history review.
- • Currency: Prices quoted in USD or EUR. Payment accepted in USD, EUR, or CNY at prevailing exchange rates.
- • Late Payment: Orders unpaid beyond agreed terms may incur 1.5% monthly interest and suspension of future orders.
Lead Time & Delivery
- • Standard Products: 7-15 business days after deposit confirmation (subject to stock availability).
- • Custom Products: 20-35 business days after deposit and design approval, including tooling time for new molds.
- • Shipping: FOB Shenzhen/Hong Kong by default. EXW, CIF, DDP terms available upon request. Buyer responsible for freight and customs unless otherwise agreed.
- • Force Majeure: Delivery delays due to natural disasters, government actions, or supply chain disruptions beyond our control shall not constitute breach.
3. Customization Terms
Sample & Prototyping Fees
- • Standard Samples: USD 30-100 per design, refundable upon mass production order (MOQ applies).
- • Custom Prototypes: USD 100-500 depending on complexity, material, and tooling requirements. Non-refundable unless otherwise agreed.
- • Lead Time: 5-10 business days for standard samples; 10-20 days for custom prototypes requiring new tooling.
- • Approval: Buyer must approve samples in writing before mass production. Changes after approval may incur additional fees.
Mold & Tooling Ownership
- • Tooling Fees: Custom molds typically cost USD 500-5,000 depending on design complexity, cavity count, and material. One-time fee paid before production.
- • Ownership: Unless Buyer pays full tooling cost upfront with written agreement, molds remain property of Supplier. Buyer retains exclusive usage rights for agreed product design.
- • Mold Storage: We store molds free of charge for 2 years from last order. Beyond 2 years, annual storage fee of USD 100 per mold applies or mold may be scrapped with 60 days' notice.
- • Mold Maintenance: Routine maintenance included. Major repairs or modifications due to design changes will be quoted separately.
- • Mold Transfer: If Buyer purchases mold ownership, physical transfer available after all outstanding payments settled. Transfer fee (shipping/handling) applies.
Intellectual Property
- • Design Confidentiality: We treat all custom designs as confidential and will not produce identical items for third parties without written consent.
- • Buyer Responsibility: Buyer warrants that provided designs do not infringe third-party IP rights and indemnifies Supplier against related claims.
4. Quality Assurance & After-Sales
Inspection & Acceptance
- • Quality Standards: All products manufactured to dimensional accuracy of ±0.05mm and comply with agreed specifications (material, hardness, color, performance).
- • Pre-Shipment Inspection: We conduct 100% visual inspection and random dimensional/performance testing. Inspection reports available upon request.
- • Third-Party Inspection: Buyer may arrange independent inspection at our facility before shipment (costs borne by Buyer). Notify us 5 business days in advance.
- • Acceptance Period: Buyer must inspect goods within 7 days of receipt and report defects in writing. Failure to do so constitutes acceptance.
- • Tolerance: Industry-standard defect rate of ≤2% applies. Claims exceeding this threshold will be addressed per warranty terms below.
Warranty & Returns
- • Warranty Period: 12 months from shipment date for manufacturing defects (material failure, dimensional deviation beyond tolerance, workmanship issues).
- • Warranty Coverage: Free replacement or credit for defective products confirmed by our quality team. Buyer responsible for return shipping; we cover replacement shipping.
- • Exclusions: Warranty does not cover damage from improper storage, misuse, unauthorized modification, normal wear, or application beyond specified parameters.
- • Return Authorization: Contact us within warranty period with photos/videos and batch numbers. RMA (Return Merchandise Authorization) required before returning goods.
- • Remedy Limitation: Our liability limited to replacement or refund of defective products. No liability for indirect, consequential, or incidental damages.
Technical Support
- • Engineering Consultation: Free pre-sales technical support for material selection, design optimization, and application guidance.

5. Liability & Dispute Resolution
Breach of Contract
- • Buyer's Breach: If Buyer cancels confirmed order, deposit is non-refundable. For orders in production, Buyer liable for materials and labor costs incurred (up to 50% of order value).
- • Supplier's Breach: If we fail to deliver within agreed lead time (excluding force majeure), Buyer may claim refund of deposit or expedited production at no extra cost. Our liability capped at order value.
- • Quality Breach: If defect rate exceeds 5% and confirmed as manufacturing fault, we provide full replacement batch or pro-rata refund at Buyer's choice.
Limitation of Liability
- • Maximum Liability: Our total liability under any claim shall not exceed the total amount paid by Buyer for the specific order in question.
- • Excluded Damages: We are not liable for lost profits, business interruption, data loss, or any indirect/consequential damages arising from product use or failure.
- • Application Responsibility: Buyer solely responsible for testing product suitability for intended application and compliance with local regulations/standards.
Dispute Resolution
- • Negotiation: Parties agree to resolve disputes through good-faith negotiation for 30 days before escalating.
- • Mediation: If negotiation fails, parties may engage neutral third-party mediator mutually agreed upon.
- • Arbitration: Unresolved disputes shall be submitted to arbitration under China International Economic and Trade Arbitration Commission (CIETAC) rules, conducted in Shenzhen in English.
- • Governing Law: These Terms governed by laws of People's Republic of China, excluding conflict of law provisions.
- • Legal Costs: Prevailing party in dispute resolution entitled to recover reasonable legal fees and costs.
General Provisions
- • Entire Agreement: These Terms constitute the entire agreement between parties and supersede all prior communications regarding the subject matter.
- • Amendments: We reserve the right to update these Terms. Changes effective upon posting on website. Continued orders constitute acceptance of updated Terms.
- • Severability: If any provision deemed invalid, remaining provisions remain in full effect.
- • Waiver: Failure to enforce any right does not constitute waiver of that right.
- • Language: English version prevails in case of translation discrepancies.
